To comply with statutory and regulatory requirements, all Australian companies are required to have at least one director who is a resident of Australia.  

The Resident Director is a trusted, highly qualified and experienced professional who provides expert advice to new or existing foreign companies with subsidiaries or offices operating in Australia.

The Australian Resident Director’s role is to liaise or negotiate with regulatory authorities and financial institutions on behalf of the company. Provide general advice on the Australian corporate, legal and financial environment.  Deliver a comprehensive range of high-level business advisory services to ensure the company’s compliance and governance requirements are prepared and lodged within the specified timeframe.

Any foreign company registered with the Australian Securities and Investment Commission (ASIC) must employ a local agent who assumes responsibility for ensuring the foreign company fulfils the governance and compliance requirements set out in the Corporations Act 2001.

These governance and compliance services include the planning and managing Board, Committee and Shareholder meetings; preparing and lodging official forms; maintenance of statutory registers and providing general governance and compliance advice.

As the primary contact, they liaise with the Australian Taxation Office (ATO) on behalf of the company on taxation matters. Responsibilities include ensuring compliance with all aspects of Australian tax law as set out in the Income Tax Assessment Act 1936.

A Public Officer must be appointed within three months of the entity commencing business or deriving income in Australia. They must be recorded as the Public Officer for the entity on Australian Tax Office systems by advising the Registrar of the Australian Business Register (ABR).
